Notice of Succession of Rights and Status of Legacy Concerns

In the matter of Imperial TC (established 2008)

Imperial Eminence Cyberguard Corporation ("IECC", the "Successor") gives notice as follows regarding Imperial TC (established 2008) (the "Predecessor") and the Predecessor's concern departments and programmes (each a "Concern").

Recitals

(A) The Predecessor was established in 2008 and traded under the name Imperial TC.
(B) With effect from the Succession Date (as defined below), the Successor acquired all rights, title and interest formerly vested in the Predecessor.
(C) The Successor now gives public notice of that succession and of the present status of the Predecessor's Concerns, as set out below.

1. Definitions

In this notice: "Succession Date" means 1 April 2023; the "Privatisation Date" means April 2025; and the "Effective Date" of any specific matter is the date stated against it below.

2. Succession of rights

With effect from the Succession Date, the Successor acquired and now holds all rights, title and interest formerly held by the Predecessor. The Predecessor and the Successor are, and at all times have been, separate and distinct legal persons; this notice records a succession of rights and not a change of name. Following the Succession Date, the Predecessor continues to exist as a legacy brand, the rights to which are held by the Successor.

3. Status of the Predecessor's Concerns

With effect from the Privatisation Date, each Concern of the Predecessor — including its law department, T.R.I.B.U.N.E.T.H. — was made private. A Concern made private under this clause ceases to operate publicly or to be publicly accessible, and continues to exist, if at all, solely as an internal function of the Successor.

Without prejudice to the foregoing, T.R.I.B.U.N.E.T.H. was further suspended with effect from April 2026, such suspension being on account of internal disciplinary action. No further public statement is made as to the particulars of that action.

4. Status of public-facing programmes

With effect from the Privatisation Date, the status of the following programmes of the Predecessor is as stated:

For the avoidance of doubt: JEE Pro Connect and NEET Pro Connect are suspended and are not presently accepting or serving students under those names. Scholar Pro Connect has not ceased to operate; it continues to do so under the name EDUXENCE, as a going concern of the Successor.

5. Continuity and enquiries

Any agreement, credential, certificate or record issued in the name of the Predecessor remains valid and is recognised by the Successor, as successor in title, as its own. Enquiries regarding any Concern or programme of the Predecessor referred to above should be directed to the Successor through the channels published at imperialecc.com.
